RULES OF PARTICIPATION

The objective of the organizers of this event is to normalize the sector at all levels, cinematographic, distribution, industrial, etc. For this reason, the intention is to gather all of the elements that are present, in one way or another in this business, it will be the integral point of meeting, through this point the new products and articles will be presented, therefore as to ascertain the technical innovations that occur throughout the world, as a result, part of the fair will be utilized exclusively forprofessionals of the sector.

In the department of international festival of erotic cinema of Madrid, the awards will be given to the best picture, Television programs, magazines etc. so much at the national level as the international one, in several departments and categories.

On Sunday the 14th we celebrate the inaugural dinner in which the prizes will be given to the respective winners. Afterwards, we will have a big party with live performances.

The companies interested in participating in the ESPOSEX erotic festival of madrid should reserve the spaces available, through the the application of participation, the reservations of spaces will terminate the 10n of April of 2006

DISTRIBUTION OF SPACES

The allotment process of a space is an exclusive rightof EXPOSEXerotic festival of Madrid . The following measures will be weieghed in order to get the aforementioned spaces in technical order of merit or sectorial relationships with the group exhibiting materials to be exhibited.

CONTRACT OF PARTICIPATION

The organization, once received the application of participation, with the contract of petition of services, will remit to the given company who is to participate the contract of participation where it will be determined and indicated the proposal of the spaces given and the m2 alloted.

The signatureof the given contract implies the acknowledgment and acceptance of the norms of participation.

The contract of participation is valid, if and only if , the company figures in the inscription and for only one edition.

The signature of the specified contractwill generate the cost of the meters squared given.

PAYMENT CONDITIONS

Upon sending the application of participation, 25 % of the space rented should be made payable. And on receiving the amount the organization would proceed in the emission of the billof 100% of the space given and also of the contracted services, giving 50% of the specified amount of the total cost, the amount remaining would be liquidated at the very earliest before the 20th of April 2006.

Whatever objection to the bill inherent will be given a maximum of 20 days to inform us with a written statement. Having transpired these 20 days it will be understood that the exhibitor has accepted the bill without any reservations.

THE EXHIBITOR SHOULD HAVE PAID THE PAYMENT AND TAXES PREVIOUSLY MENTIONED IN THE EXPIRARATION ESTABLISHED IN THE BILLS AND ALWAYS 20 DAYS BEFORE THE OFICIAL PERIOD.

THE CONTRACT WILL BE TERMINATED THE DAY AFTER THE EXPIRATION OFTHE BILL RELATED WITH SPACE GIVEN, IF THE CONTRACTING COMPANY HAS NOT SATISFIED THE PREVIOUSLY MENTIONED PRICES.

FORM OF PAYMENT

All payments should always be in favor of EXPOSEX PUNTO Y APARTE, S.L. THROUGH A BANK TRANSFER TO THE FOLLOWING BANK ACOUNT: 2100 1174 08 0200068904

IMPORTANT:For your payment to be registered. You should indicate in your bank transfer, your valid information and the number of the bill in the 2nd and 3rd payment.

OBLIGATOTRY INSURANCE

CIVIL RESPONSIBILITY AND MATERIAL DAMAGES

Assured capital in civil responsibility is 300,000 euros and assured capital for material damages is 20,000 euros

The obligatory insurance will be approximately 300 euros and will be included in the bill of space availablity.

THEFT INSURANCE

It is mandatoryand will be charged to the account of the exhibitor, the organization will contract an insurance odf 500 euros for these cases

IMPERFECTIONS IN THE SPACE ALLOTED

Anything damaged or affected in a negative manner will be automatically charged to the exhibitor and thus held responsible.

LOSS OR DAMAGES TO EXPOSED MATERIALS

The organization is not liable for any imperfections, nor will submit any compensations for lost material by diverse causes that can suffer the objects displayed.

CONTRACTION OF SERVICES

EXPOSEX EROTIC FESTIVAL IN MADRID, offers the possibilityto hire different services, that have to be sent at the same time that the application is sent.

CANON SET UP

The company in charge of the works in the set up department in a stand should pay EXPOSEX EROTIC FESTIVAL OF MADRID, before it starts, the prices stated in the folder of services to the exhibitor in regards to thelight in the facilities, consumption of gas and electricity, restrooms and security. The following tariffs are defined in in the preceding examples

Structural stand 3,00 euros/ meters squared

Stand moqueta and tarima2,00 euros/ meter squared

In the case the stand is rented outto EXPOSEX erotic festival of Madrid. The costs would be covered by the setup canon

MODIFICATION OF SPACE PROVIDED

The organization reserves the right to modify the rented space hired by the exhibitor, with the condition that the exhibitor not ask for a refund.It is totally prohibited to rent out space to third parties.

If for any reason apart from the organization this would not be allowed to be put at the disposition of the exhibitor then similar characteristics would be employed at a more reduced level, the exhibitor will have the right to recover the difference between the initial amount and the the amount finally designated for the space hired, and the amount of the space finally designated , excluding any other type ofreclamation from the part of the exhibitor and in which no money have to be more compensated in the process of the damages implicit.

If the exhibitor asked for a reduction of space, they will lose the exclusive rights to the contract previously accorded, that way having the right to solicit for a new space in the remaining spaces remaining.

In the event of ant modification regarding the space given a new contract will be employed with the new details inherent in the present contract referring to the location available. This new contract will substitute any thta had been remitted prior to this contract.

CANCELLATION OF THE PARTICIPATION BY THE EXHIBITOR

The exhibitors that renounce the participation at the EXPOSEX erotic festival of Madrid, should notify or inform in written form any possible complaint to theorganization, Prior to the 1st of March2006. In which case it will reurn 100% of the amounts stipulated up until that moment, in the concept of space available.

If the complaint were to be produced beyond the oficial date indicated, or was not notified in form indicated, the exhibitor will lose the opportunity at receiving any type of reimbursement for the quantities and and amounts submitted.

Assuming that the exhibitor has not abided to the totality of the amount prior to the inaugration or hasn´t occupied the space alloted, the organization will be given the right to give the space to a potential third party, without having to return or reimburse any of the quantities previously stated.

CREDENTIALS AND RANGE OF THE STAND

CREDENTIALS Each exhibitor with a stand inferior to 27 m/2, will have the right to receive 5 credentials for the individuals that go to their stand, anfd those exhibitors whose stand is superior in space then the 27 m/2 mentioned, wil receive one credit for each 10 metersthat go beyond the above mentioned length.

The petitions should be advised to the organazion no less than 30 days in advance prior to the commencement of the festival.

If any exhibitorwould happen to need any extra credits the individuals would have to solicit to the organization and the organization wil evaluate and analyze each cause individually.

OBLIGARY TO SHOW CREDENTIALS AND IDENTIFICATION BEFORE ENTERING THE FESTIVAL

Regarding issues of securitythe exhibitors must show, each time that they enter in the area of the fair, their credential accompanied with their DNI or a similar document

OBLIGATIONS OF THE STAND

The stand should be covered at all times by the accredited personell

PROHIBITORY ACTS It is totally prohibitted to retire merchandise or samples during the duration ofthe FESTIVAL , except if given the appropriate authority expressed by the organization.

PROMOTIONAL ACTIVITIES/INFORMATION AND PUBLICITY DURING THE FESTIVAL

The exhibitors can promote their products and servicesin the way they feel most comfortable , even though the will have to complete the following conditions and recommendations:

To perform their activities of information and promotion in the confines of their own stand

Incase of adjusting the the sound, it can´t be superior to 75 decibels. The exhibitor is obliged to have a mechanism of sound which will allow for the sound not to increase these 75 decibels. The organization will keep a watchful eye and will regulate the possible infractions of the 75 decibel level

The live performanceswith erotic material are accepted , including the sporadic partcipation of the public would be approved, always when they have maintained an aesthetic level of conductand they use pertinent

sanitary measures . THE perfomances designed solely fo r the enjoyment and pleasure of the public will be prohibited. Or something that may incite the public during or after the actual event performed within the confines of the FESTIVAL.

It is not allowed to distribute outside of the designated stand any type of leaflets or propoganda for any activity.

The promocion of images, texts, spectacular things are totally prohibited and could be penalized under the penal code.

If this were not to befollowed the closure of all stands would be in effect and the organization has the means and the rights of taking legal action .

MORE SEVERE PENALTIES

The organization can change the location of the festival in function of the demand of the spaces in meters squared.

At the same time we also have the right to reduce or expand the time of the FESTIVAL , with the possibility of cancelling it altoghether.

These circumstances alone won´t be enough that the exhibitors cancel their contracts neither to be able to receive any type of monetary compensation. If the event is not celebrateed ten all of the money will be given back and reimbursed up until the date.

THE ACCEPTANCE OF THE NORMS OF PARTICIPATION

The presentnorms anf conditions ofa contracts are constituted in the above conditions.

The fact of signing the present contract of participation , implysby the part of the exhibitor, the compromise of respecting the norms of participation, as the directive techniquesand security disposition of then organization.
